Welcome to Sparkz.Space (“Sparkz” or “the Service”), an educational technology platform operated by EdSpan Global, the educational division of Tutorpeers LLC, in association with Animated Intelligences. Sparkz provides conversational AI learning tools through text and voice chat, file uploads, live avatar sessions, and knowledge-based interactions.
By accessing or using Sparkz, you agree to these Terms of Use (“Terms”) and our Privacy Policy, which together form the entire agreement governing your use of the Service. If you are under 18, you represent that your parent, guardian, or school has reviewed and approved your participation. Users under 13 may not use Sparkz unless their school provides verified parental consent consistent with FERPA and COPPA.
If you do not agree to these Terms, do not access or use the Service.

You may not impersonate another person or share your login credentials. EdSpan Global may suspend or terminate accounts that violate these Terms or applicable law.
When Sparkz is provided through a school, district, or educational institution (“School”), EdSpan Global acts as a School Official under FERPA and processes student data solely for educational purposes authorized by the School.
The School remains the data controller for student accounts, and EdSpan Global follows the School’s written directions on consent, retention, and deletion. Institutional terms may supplement these Terms and will prevail in case of conflict.
Subject to these Terms, EdSpan Global grants you a limited, non-exclusive, non-transferable, revocable license to access and use Sparkz for educational, non-commercial purposes only.
You may not:
(a) Sell, lease, sublicense, or commercially exploit Sparkz or its outputs.
(b) Reverse engineer, decompile, or attempt to extract source code.
(c) Develop a competing service using Sparkz or its underlying technology.
(d) Copy, modify, or redistribute Sparkz materials except as expressly permitted.
EdSpan Global reserves all rights not expressly granted herein.
You agree not to:
Enforcement: EdSpan Global may remove content, restrict features, or suspend/terminate access at its discretion to protect users, schools, and the integrity of the Service.
You retain ownership of all content, prompts, uploads, and communications you submit or create through Sparkz (“User Content”).
By submitting User Content, you grant EdSpan Global a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create non-substantive derivative works of such content solely to operate, maintain, improve, and secure Sparkz (including quality assurance and safety monitoring).
We do not sell User Content or use it for external advertising or model training.
For School-managed accounts, additional data rights and deletion procedures are governed by the School’s written agreement.
Sparkz uses AI systems to generate educational responses. Outputs may at times be incomplete, inaccurate, or contextually inappropriate. You are responsible for reviewing and verifying AI-generated content before relying on it.
AI outputs are provided for educational and informational purposes only and are licensed to you on a limited, non-commercial basis. EdSpan Global makes no guarantees as to the accuracy, originality, or completeness of such outputs.
All rights, title, and interest in and to the Sparkz platform—including software, design, avatars, logos, trademarks, and underlying technology—belong to EdSpan Global or its licensors.
Except for the limited license expressly granted to you, no rights are transferred. All non-user materials, documentation, and code remain proprietary to EdSpan Global.
Sparkz integrates third-party services that support its operation, including but not limited to:
These services have their own terms and privacy practices. Your use of those features constitutes acceptance of their applicable terms.
Your use of Sparkz is subject to the Sparkz.Space Privacy Policy, which explains how we collect, process, and protect information.
Educational data is handled under strict compliance with FERPA, COPPA, GDPR, and CCPA where applicable. Conversations, uploads, and personal data are never sold or used for third-party advertising.
If you send comments, suggestions, or feature ideas to EdSpan Global (“Feedback”), you grant us a perpetual, worldwide, royalty-free license to use, modify, and implement such Feedback without obligation or attribution.
We reserve the right to modify or discontinue any part of Sparkz at any time.
You may stop using Sparkz at any time by deleting your account.
EdSpan Global may suspend or terminate access, with or without notice, if you violate these Terms, misuse the Service, or if termination is required by law or School instruction.
Sections relating to intellectual property, disclaimers, limitations, indemnification, and dispute resolution survive termination.
SPARKZ IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDSPAN GLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that Sparkz will be uninterrupted, error-free, or free of harmful code. Educational outcomes depend on user engagement and context.
TO THE FULLEST EXTENT PERMITTED BY LAW, EDSPAN GLOBAL, ITS AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, EVEN IF ADVISED OF SUCH POSSIBILITY.
In any event, total liability for all claims within a twelve (12) month period shall not exceed the greater of fifty U.S. dollars ($50) or the amount paid by you for Sparkz during that period.
You agree to defend, indemnify, and hold harmless EdSpan Global, its affiliates, officers, employees, and partners from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of Sparkz, your User Content, or violation of these Terms.

We aim to make Sparkz accessible to all learners. If you experience accessibility issues, contact support@sparkz.space. We evaluate and respond to accessibility feedback promptly and work toward conformance with WCAG 2.1 Level AA standards.
You agree to comply with all applicable U.S. export control and sanctions laws. You may not use Sparkz in any jurisdiction or for any purpose prohibited by such regulations.
By using Sparkz, you consent to receive electronic communications, including service notices, policy updates, and disclosures. These notices satisfy any legal requirement for written communication.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
Arbitration:
Any dispute arising out of or relating to these Terms or Sparkz will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will occur in New York County, New York, and decisions will be final and enforceable in any court with jurisdiction.
Each party will bear its own costs, and class or collective actions are not permitted.
For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
We may update these Terms from time to time. Material changes will be posted with a new Effective Date and, where required, advance notice of at least 30 days before becoming effective. Continued use after updates signifies acceptance of the revised Terms.
You may not assign or transfer any rights under these Terms without EdSpan Global’s written consent. If any provision is found unenforceable, it will be modified to the minimum extent necessary to remain valid.
These Terms, together with the Privacy Policy, represent the entire agreement governing use of Sparkz and supersede any prior agreements.
